This document describes the intended end user rights and restrictions that apply to the Customers purchasing a Product based on the CBF library. Both the “human understandable” explanation and the official legal License texts are provided.
This section is intended to explain the intended CBF library use for regular people. This section is not a legal binding License version. Please see the legal EULA text in respective section below.
The Cloud Business Framework (CBF) Library is a set of .Net assemblies and 3rd-party NuGet packages intended to provide a common reliable basis for quick implementation of scalable and flexible ASP.Net MVC Web Applications, suitable for cloud hosting.
The CBF Library is developed by SE Project Management Ltd. for use in the custom software projects implemented for different Customers. The standard SE Project Management Ltd. policy is that the Customers get complete source code ownership for the software projects developed for them, including, but not limited to permissions to modify and redistribute the projects. That is OK in case of a completely custom development when no piece of code is shared with other projects. The CBF Library, though, is shared by multiple projects and is not developed exclusively as a part of particular Customer’s project. While the Customers should still be able to modify and redistribute the projects developed for them, the “complete code ownership” clause does not fully apply to the CBF Library that requires a separate license.
Using a Product based on the CBF Library, the Customers acknowledge that:
They do not have an exclusive CBF Library ownership. Other Customers’ Products may also be based on the CBL Library.
SE Project Management Ltd. remains the owner and developer of the CBF Library.
Following rights are granted to the Customers of Products based on the CBF Library:
Use and redistribute the compiled binary files of the CBF Library, accompanying text resources and documentation as part of their Product.
Change and redistribute the CBF Library configuration files and settings.
Add and redistribute new localizations of the CBF Library text resources.
Review and modify for debugging purposes the CBF Library source code.
Following actions are required from the Customers of Products based on the CBF Library:
Include the CBF License text into the Product distribution.
Explicitly indicate in the Product documentation and Product UI (at least in the About and Copyright sections) that the Product is based on the CBF Library.
Following rights are explicitly forbidden:
Redistribute modified versions of the CBF Library compiled binary files.
Claim ownership of the CBF Library.
Restrict other Customers from using the CBF Library in their Products.
Rent, lease, or lend the CBF Library not as a part of the Product based on the CBF Library.
Apply the Product License that contradicts with the CBF Library License.
Introduction
This End-User License Agreement (EULA) is a legal agreement between SE Project Management Ltd., hereafter called Licensor and you, the user (Licensee).
Herein, Use, Uses, Using or Used means to install, download, copy or access any of the files that are included with the CBF Library, to develop an application (Product) that makes use of the CBF Library, to consult any of the documentation included with the CBF Library, or to otherwise benefit from using the CBF Library.
Herein, Utilize, Utilizes, Utilizing or Utilized means to access any of the source files that are included with the CBF Library, to develop Application that makes use of the CBF Library by working on the code that involves CBF Library's functionality, to consult any of the documentation included with the CBF Library.
This EULA is legally valid only if you have legitimately obtained the license from Licensor by purchasing the license as part of the Product developed for you by Licensor, purchasing the Library only or obtaining a license document signed by Licensor.
By Using the CBF Library, you agree to be bound by the terms of this EULA. If you do not agree to any part of the terms of this EULA, you must immediately cease and desist using the CBF Library.
The CBF Library is licensed, not sold.
1. GRANT OF LICENSE
This EULA, if legally executed as defined herein, licenses and so grants you the following rights:
1.1. Licensor grants you a non-exclusive, royalty-free license to Use the CBF Library for the sole purposes of design, modifying, developing, testing, and deploying the Product developed for you by Licensor or your own Product.
The CBF Library may be Utilized on any number of computers by any number of software developers at your premises located at any physical location (any address).
1.2. You may Use the CBF Library free of charges to Licensor, except for the fee charged to acquire the CBF Library as part of the Product developed for you by Licensor or a stand-alone CBF Library purchase.
1.3. Your Product UI and documentation must clearly and explicitly state, at least in the About and Copyright sections, that it is based on the Cloud Business Framework Library.
1.4. Your Product distribution must include this CBF Library License text as a separate file or an embedded text resource.
2. GRANT OF SOURCE CODE USE LICENSE
Licensor grants you a non-exclusive license to view and modify the source code to the CBF Library (Source Code). You may compile the modified or unmodified Source Code. You may use the resulting object code compiled from the modified Source Code solely for the debugging purposes. You may use and distribute the resulting object code compiled from the unmodified Source Code solely as a part of Product into which the Source Code compiles. You cannot distribute the resulting object code separately from your Product.
The foregoing license is subject to the following conditions:
2.1. Licensor shall retain all rights, title and interest in and to all corrections, modifications and derivative works of the Source Code created by Licensee, including all copyrights subsisting therein, to the extent such corrections, modifications or derivative works contain copyrightable code or expression derived from the Source Code. Notwithstanding the foregoing, Licensee shall retain all rights, title and interest in and to Licensee's Product even if such Product is linked (statically or dynamically) to the CBF Library.
2.2. You may not distribute or disclose the Source Code to CBF Library, or any portions or modifications or derivative works of the Source Code to CBF Library, to any third party, in source code form.
2.3. Under no circumstances may the Source Code be used, in whole or in part, as the basis for creating a product that provides the same, or substantially the same, functionality as the CBF Library.
3. RENTAL
You may not rent, lease, or lend the CBF Library.
4. TRANSFER
You may NOT transfer permanently or temporarily any of your rights under this EULA to any individual or entity without prior written approval from Licensor.
5. UPGRADES
New releases of the CBF Library may be made available by Licensor, subject to separate agreement.
You may transfer your rights on the CBF Library to new releases as they become available.
Licensor is not required to generate any further releases.
6. COPYRIGHT
All title and copyrights in and to the CBF Library (including but not limited to any copyrighted images, sample applications, source code, intermediate files, packages and text incorporated into the CBF Library, the accompanying materials, and any copies of the CBF Library) are owned by Licensor. The CBF Library is protected by copyright laws and international treaty provisions and therefore, you must treat the CBF Library like any other copyrighted material except that you may Use the CBF Library as described in this EULA.
7. INDEMNIFICATION
To the best of Licensor's knowledge, the CBF Library or the Use thereof does not infringe with any third party's rights. Licensor shall have no responsibility whatsoever for any claims or infringements of patents, trademarks, industrial design, copyrights or other property rights affecting your Use of the CBF Library.
8. LIMITATION OF LIABILITY
The CBF Library is provided as is, without any representation or warranty of any kind, either express or implied, including without limitation any representations or endorsements regarding the use of, the results of, or performance of the product, its appropriateness, accuracy, reliability, or correctness. You assume the entire risk as to the use of this product. Licensor does not assume liability for the use of the CBF Library beyond its original purchase price. In no event will Licensor be liable for additional direct or indirect damages including any lost profits, lost savings, or other incidental or consequential damages arising from any defects, or the use or inability to use the CBF Library, even if Licensor has been advised of the possibility of such damages.
9. TERMINATION
This EULA is effective until terminated. Without prejudice to any other rights or remedies, in the event that you fail to comply with any terms and conditions of this EULA and you do not cure such failure within 30 days of written notice from Licensor, Licensor may terminate this EULA. In such event, you must immediately cease and desist using CBF.
10. MISCELLANEOUS
You agree not to represent that Licensor is affiliated with or approves of your software product(s) in any way. This EULA may only be modified in writing signed by you and Licensor. If any provision of this EULA is found void or unenforceable, the remainder will remain valid and enforceable according to its terms. If any remedy provided is determined to have failed for its essential purpose, all limitations of liability and exclusions of damages set forth in the Limitation of Liability shall remain in effect.
Licensor reserves all rights not specifically granted in this EULA.
